TERMS AND CONDITIONS OF SALE

 

 

 

PAYMENT:

 

  1. Payment terms are cash unless otherwise agreed prior to shipment.
  2. This sale contract is made and entered into within, and shall be governed by and construed in all respects in accordance with the laws of the state.
  3.  CA. venue shall lie exclusively in the courts of Los Angeles, county of California.

 

TERMS:

 

  1. For value received (receipt of which is acknowledged on receipt on this invoice), you (“Customer”) agree to make payment in full to Electronic Distribution Services, LLC (herein after referred to as Electronic Distribution Services, LLC . for all amounts due according to Electronic Distribution Services, LLC . is invoice(s).  Customer also agrees to pay Electronic Distribution Services, LLC . as interest an amount equal to 1.5% per month, or the maximum provided by law (whichever is less) for invoice amounts that are past due.  Should Customer default in any payment(s), Electronic Distribution Services, LLC shall have the right without notice to Customer, to declare all invoice amount due and payable.  In the event Electronic Distribution Services, LLC should commence any action or actions or other expenses incurred by Electronic Distribution Services, LLC , whether or not suit is filed.  This agreement is nor assignable without the prior written consent of Electronic Distribution Services, LLC .
  2. By receiving the goods o service mention on this invoice you have agreed to Electronic Distribution Services, LLC terms and conditions, and waived all rights and/ all other terms and conditions unless otherwise noted to specified.

 

TERMS AND CONDITIONS OF SALE:

 

  1. Special orders are not refundable/ returnable.
  2. All merchandise returned is subject to 25% restocking fee.
  3. No claims for damage or shortage will be allowed unless made within one day from receipt of product.
  4. Freight charges are customer responsibility.
  5. All software sales are final.
  6. A finance charge of 1.5% per month (Annual Rate of 18%) will be charged on any items that are past due.
  7. If any action is taken to collect money due for products or services, including referral to a collection agency or attorney, customer shall be responsible for all expenses incurred.  The expenses shall include to; all cost and expenses including any and all attorney’s fees and court cost.

 

SHIPPING:

 

  1. All shipments are F.O.B. Electronic Distribution Services, LLC warehouse, Pomona, CA.  Or the point of origin of the goods.
  2. Electronic Distribution Services, LLC is not responsible for damages to, or lessees of, products during shipment.  Customer agrees to bear all transportation charges.  Regardless of the method of delivery, risk of loss shall pass to customer upon Electronic Distribution Services, LLC delivery to the carrier.  Great care taken in packaging Electronic Distribution Services, LLC products.  Electronic Distribution Services, LLC cannot be held responsible for breakage after having received a signed copy of the shipping documentation form the shipping company.  Customer must make all claims for loss and damage to the carrier.

 

REFUNDS:

 

  1. All refund for return must be in as-shipped condition.
  2. Return may be subject to a 25% re-stocking fee and shipping charges, within 7 days of purchase and must be returned in original packaging.
  3. There will be a 4% processing fee for credit back to customer’s credit card account.
  4. Shipping charges are not refundable.
  5. After 7 days of purchase all sales are final, and no refunds will be made.

 

RETURNS:

 

  1. Customer shall notify Electronic Distribution Services, LLC within seven (7) business days of receipt of any defective products or products not meeting specifications, Electronic Distribution Services, LLC will be given reasonable opportunity to inspect the goods prior to return.  No product may be returned by customer until Electronic Distribution Services, LLC Inc. has issued an RMA# to the Customer (which Authorizes the returns of the product to Electronic Distribution Services, LLC ).  Return items must be labeled number and must be securely packed in the original package in order to reach Electronic Distribution Services, LLC . without damage.   Customer remedy and Electronic Distribution Services, LLC liability for many incidental or consequential damages, losses or expenses for breach of warranty or negligence.
  2. All products being returned to Electronic Distribution Services, LLC must have “RMA Number”.  The RMA can be obtained by calling or Customer Service Department at 909.865.3400 ext 1025
  3. All returns require and RMA number, which must be prominently displayed on the box.  Packaged without RMA number will not be accepted.
  4. Electronic Distribution Services, LLC reserves the right to replace a defective product with another product of different brand having similar technical specifications.
  5. CPUs and Memory are not returnable after 30 days, unless otherwise agreed upon in writing.
  6. Return merchandise must be shipped freight prepaid by the customer.
  7. Do not ship via United States Postal Service.

 

WARRANTY:

 

  1. Some products carry manufacturer’s warranties.
  2. Electronic Distribution Services, LLC provides a limited warranty on all products.
  3. Electronic Distribution Services, LLC makes no other express or implied warranty for any kind for products with regard to performance, merchantability, or fines for any particular purpose. Further Electronic Distribution Services, LLC . is not responsible for any defect in products, loss or in accuracy of data of any kind, or from and direct, incidental, or consequential damaged resulting there from.
  4. Electronic Distribution Services, LLC . does not guarantee product compatibility and will not be responsible for Customer integration problems.
  5. Warranty on all Electronic Distribution Services, LLC product carries base on the warranty period stated on original invoice, form the date of shipment to customer.
  6. All return product (s) will be return to customer by UPS Ground or FEDX Ground.
  7. Customer modification, physical damage, abuse, tamper, missing part, improper installation, maintenance, misuse, neglect, improper environment, excessive or inadequate electrical power, surge current or voltage, unauthorized firmware (micro code) change, improper return packaging, broken or remove warranty stickers, or other irregularities shall void all warranties.
